These terms cover using this website, requesting a referral to a licensed insurer or broker, and what we’re each responsible for.

Agreement to these terms

These terms apply whenever you use the Clearly Rate website, including reading our guides, submitting the contact form, or asking us to refer you to a licensed insurer or broker. By using the site, you agree to them. If you don’t agree, please don’t use the site.

We may update these terms from time to time, as described in “Changes to these terms” below.

Who we are

Clearly Rate is a referral service. We explain how business insurance works and, when you ask, we refer your request to a licensed insurer or broker who can quote and advise you. We are not an insurance company, and we are not a licensed insurance broker, agent or advisor. Our Licensing & Disclosure page explains this in full, including how we’re paid and which provinces we currently serve.

Who can use this site

This site is for business owners, and for people acting on behalf of a business, looking into commercial insurance in Canada. By using the site you confirm that you’re able to enter into a binding agreement, whether on your own behalf or your business’s, and that you’re of the age of majority in your province or territory.

Using this site

You agree to use this site only for its intended purpose: reading our guides and, if you choose, requesting a referral. You agree not to:

  • Use the site for anything unlawful, or in a way that could damage, disable or overburden it
  • Attempt to gain unauthorized access to any part of the site, our systems or another user’s information
  • Use automated tools to scrape or harvest content from the site, other than standard search engine crawlers
  • Interfere with the site’s security features or attempt to reverse engineer any part of it
  • Submit false or misleading information through a form on the site
  • Use the site to send unsolicited advertising or other unwanted communications

We can suspend or end your access to the site if we reasonably believe you’ve broken these terms.

Quote requests and referrals

When you submit a quote request or otherwise ask to be referred, you agree to give accurate information about yourself and your business, and you confirm you’re authorized to give it and to have us pass it on. Submitting a request doesn’t guarantee that any insurer or broker will contact you, quote you, or offer you coverage, and it doesn’t create a contract between you and Clearly Rate for insurance of any kind.

Once we make a referral, the insurer or broker you’re referred to is responsible for their own conduct, quotes, advice and any policy they issue. Our Licensing & Disclosure page explains where the line sits between what we do and what they do.

No insurance, legal or financial advice

The guides and other content on this site are general information about how business insurance typically works. They are not insurance, legal, financial or professional advice, and they aren’t tailored to your business. Before making a decision, get advice from a licensed insurer, broker, lawyer or accountant, as appropriate.

Content and intellectual property

The text, design, graphics and other content on this site belong to Clearly Rate or our licensors, except where stated otherwise. We grant you a limited, non-exclusive, non-transferable licence to view and use this content for your own personal or business reference. You may not copy, reproduce, republish, distribute or create derivative works from our content for any commercial purpose without our prior written permission.

Our name and logo are ours. You may not use them without our prior written permission, except to link to this site in a way that isn’t misleading or doesn’t suggest an endorsement that doesn’t exist.

Third-party links and services

This site links to third parties, including insurers, brokers, government and regulator websites, and other resources. We don’t control those sites, and we aren’t responsible for their content, accuracy, terms or privacy practices. Visiting a linked site is at your own discretion, and its own terms and privacy policy will apply.

Privacy

Our Privacy Policy explains what personal information we collect, how we use it, and when and how we ask for your consent to share it with an insurer or broker. It forms part of these terms.

Disclaimers

This site and its content are provided “as is” and “as available,” without warranties of any kind, express or implied, to the extent permitted by law. We don’t guarantee that the site will be available at all times, that it will be error-free, or that the information on it is complete, current or accurate for your situation. Insurance products, prices and regulatory requirements change, and a guide’s “last updated” date tells you when we last reviewed it.

Limitation of liability

To the maximum extent permitted by law, Clearly Rate isn’t liable for any indirect, incidental, special or consequential damages arising from your use of this site or reliance on its content, including lost profits or lost business, even if we’ve been advised of the possibility. Nothing in these terms limits liability that can’t be limited under applicable law, such as liability for our own gross negligence or wilful misconduct.

Because using this site and requesting a referral is free, our total liability to you arising out of your use of the site is limited to the greater of one hundred Canadian dollars ($100 CAD) and the amount, if any, you’ve paid us to use the site.

Indemnification

You agree to indemnify and hold Clearly Rate harmless from any claim, loss or expense, including reasonable legal fees, arising from your misuse of the site, your breach of these terms, or information you submit through the site that is false, misleading or that you weren’t authorized to share.

Changes to the site and these terms

We may change, suspend or discontinue any part of the site, or update these terms, at any time. When we update these terms, we’ll change the “Last updated” date at the top, and if a change is significant we’ll say so in a clear way, such as a notice on the site. Continuing to use the site after a change takes effect means you accept the updated terms.

Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply in Ontario, without regard to conflict-of-law rules. Any dispute that these terms don’t resolve informally will be handled by the courts of Ontario, and you agree to their jurisdiction.

If something doesn’t work as intended

If a court finds part of these terms unenforceable, the rest still applies, and the unenforceable part will be read to reflect the parties’ original intent as closely as the law allows. These terms, together with our Privacy Policy and Licensing & Disclosure page, are the entire agreement between you and Clearly Rate about using this site.
